By accessing or using the Site, you are acknowledging that you have read, understand, and agree, without limitation or qualification, to be bound by these Terms and Conditions.

1.3 These Terms apply from 25 January 2021.

2. Scope

These terms and conditions are a legal agreement between us and apply to your use of our website including the sale of retail goods to consumers. You must read and accept all the terms and conditions contained in this agreement prior to buying goods from us.

2.1 Please also review our Privacy Policy, which forms a part of these Terms and Conditions and governs your visit to the Site, so that you may understand our privacy practices.

3. Order acceptance

3.1 All orders placed by you are subject to our acceptance. We reserve the right at all times and in our sole discretion to refuse to accept an order for any reason and without liability to you.

3.2 Orders may only be placed by individual customers purchasing goods other than for resale. Wholesale customers should contact us direct at the above address before placing an order.

3.3 After you have placed the order with us, we will send you an order acknowledgement by email with your order number and details of the product you have ordered. This email is only an acknowledgement of receipt and is not an acceptance of your order. The acceptance of your order and a contract of sale between us will not take place until you have been advised the goods you have ordered are available and these goods have been paid for in full including any applicable charges. No payment shall be considered to have been received until we have received payment in cleared funds.

4. Order placement

4.1 You may browse our website without registering but when you place your first order you will need to register with us and complete certain fields on our order form.

4.2 You should not disclose or transfer your username or password to any other person and you must notify us immediately if you become aware of any unauthorised use of your username and password. Without prejudice to our rights, we may suspend your access to the website without liability to you if in our reasonable opinion such action is necessary to safeguard the website.

4.3 Before you submit your order you will be given the opportunity to review your selection, check the total price of your order and correct any errors. Your order represents an offer by you to purchase items selected you.

4.4 If items shown on our website are not available or are incorrectly priced or incorrectly described, we shall not be obliged to sell you the items as shown.

4.5 We reserve the right to change at any time and without any previous notice the items offered on our website.

4.6 It is vitally important that you check carefully the quantities of goods that you order from us. We will deliver what you order. Whilst you have a right of cancellation you must pay for the delivery costs back to us.

5. Telephone sales

To keep costs of sales down, we do not normally take phone orders. Should we take orders by telephone, you may ring us on Monday to Friday from 9.30 am to 5.30 pm UK time, excluding bank and public holidays. If you provide us with an email address, we will follow the same procedures as for internet sales but if not we reserve the right to follow an alternative process, of which you will be advised when you call. In the case of telephone sales, acceptance of your order follows the same procedure as with internet sales. A contract of sale between us is not formed until your order is accepted and payment in full has been received and cleared.

6. Descriptions and Product Information

6.1 We have made every effort to represent the colours of our products and their packaging as accurately as possible. However, due to differences in monitors we are unable to guarantee that the colour you see on your monitor will reflect the true colour of the product and its packaging.

6.2 prospergene.com warrants that the goods that you buy will at the time of delivery to you correspond to the description given by prospergene.com. Every description or specification of the Products we sell is given in good faith based upon information received by us from the manufacturer of the Products.

6.3 prospergene.com will pass on to you any benefits obtainable under any warranty given by prospergene.com owner PROVIDED THAT you have paid for the goods.

6.4 No statement, description, information, warranty, condition or recommendation contained in any catalogue, price list, advertisement or communication made verbally by any employee of prospergene.com shall be construed to enlarge, vary or override in any way any of the provisions of these Terms.

6.5 Except where you buy as a consumer (as defined in Section 12 Unfair Contract Terms Act 1977) all warranties other than those set out above, conditions and terms relating to fitness for purpose, merchantability or condition of the goods, whether implied by statute or common law or otherwise are excluded.

6.6 You warrant that except with the advice of a qualified medical adviser or health professional you will not purchase any product from us for use by a person (including yourself) who has previously suffered or experienced any reaction or intolerance to any product placed upon the skin.

7. Prices

7.1 All prices on the website are quoted in US Dollars ($) to ensure global accessibility. They include any applicable taxes where required but exclude delivery charges, which are detailed separately.

7.2 Please note that on all orders placed for delivery outside the UK it is the customer’s responsibility to pay any import duties that may be applicable for deliveries within their own countries.

7.3 We may change the prices on the website at any time and without any notice.

7.4 We try to ensure that all prices given on the site are correct. However, mistakes can occur. If we have quoted an incorrect price on the site and if the correct price is lower than that quoted, we will automatically assume that you wish to continue with your order. However, if the correct price is higher than that originally quoted, we will contact you to ask if you still want to order the goods.

8. Payment terms

You confirm that the credit card/debit card that is being used is yours or that you are authorised to use it. All credit/debit cardholders are subject to validation checks and authorisation by the card issuer. If the issuer of your card refuses to authorise payment we will not accept your order and we will not be liable for any delay or non-delivery. Furthermore, we are not obliged to inform you of the reason for the refusal. You should note that your bank or card issuer may charge you as a result of our processing your credit/debit card payment in accordance with your order. prospergene.com has no responsibility for such charges.

9. Delivery

9.1 We will process all orders within 1-3 working days. Where there is a delay in the supply of goods, we will advise you as soon as practicable. If the goods cannot be delivered within 30 days of your order, we will notify you of this delay and you may either cancel your order or agree to a further delivery time with us.

9.2 Orders will be sent to the delivery address that you have submitted on your order form. We cannot be held responsible if that delivery address is incorrect.

9.3 Please note that we cannot deliver to PO boxes.

9.4 Please note that nail polishes, nail polish removers and fragrances can only be sent within the UK. Otherwise, you would have to place an order through our local offices in your continent.

9.5 We will deliver the goods following the delivery option selected by you during the order process. Any delivery timescales quoted to you are indicative only. Whilst we use only reputable delivery companies we do not accept any liability for delayed delivery caused by any third party.

9.6 Successive orders may be joined and delivered in one parcel.

9.7 BSR-1 Smart Ring Pre-Orders: Pre-orders are explicitly exempt from the standard 30-day delivery timeline under Section 9.1. The BSR-1 Smart Ring is precision-manufactured to order and dispatched within 4 weeks of order confirmation. You may cancel your pre-order at any time prior to dispatch for a 100% full refund.

10. Delivery charges

10.1 Shipping rates are calculated based on your delivery address zone: UK Domestic ($3.95 / Free on orders over $30), Europe ($7.95 / Free on orders over $60), International Zone 1 ($11.95 / Free on orders over $80), and International Zone 2 ($14.95 / Free on orders over $100). Final shipping charges are clearly displayed at checkout before order confirmation.

10A. International Taxes, Customs Duties & Drop-Shipping

10A.1 Drop-Shipping Model: Certain products are fulfilled via international drop-shipping, where goods ship directly from our supplier facilities (including facilities in China) to your delivery address. The physical goods never enter UK warehouses unless you are a UK customer. Tax liability is determined by the country where you receive the product, not by our UK company registration.

10A.2 United Kingdom Customers:

• Under £85,000 UK Sales Threshold: If our total UK turnover is below £85,000, no VAT is charged at checkout. For items under £135, import VAT is waived under UK low-value consignment rules.
• Items Over £135: The shipping carrier (DHL, FedEx, Royal Mail) will stop the parcel at UK customs and bill you for 20% UK import VAT plus a handling fee before delivery.
• Once We Register for UK VAT: When our UK sales exceed £85,000, we will register for UK VAT and charge 20% VAT at checkout to all UK buyers.

10A.3 European Union Customers:

• Zero-Threshold Policy: The EU requires VAT on every import from third countries like China. Because we are not registered for the EU IOSS (Import One-Stop Shop) portal, we cannot collect VAT at checkout.
• Shipments Under €150: The shipping carrier will stop your parcel at the EU border and charge you the destination country's local VAT rate (e.g., 21% in Spain, 19% in Germany) plus an administration fee before delivery.
• Shipments Over €150: The carrier will collect both local EU VAT and applicable electronics customs duties from you upon import.
• Customer Responsibility: You are responsible for all EU import VAT and customs fees. A clear warning is displayed at checkout before order confirmation.

10A.4 United States Customers:

• De Minimis Exemption: Packages valued under $800 shipping directly from China to the US enter completely free of duties and taxes under US de minimis rules.
• No Sales Tax (Initially): If we are not registered for sales tax in your state, no tax is charged at checkout.
• Economic Nexus Threshold: If our sales in a specific US state exceed that state's economic nexus threshold (typically $100,000 or 200 orders), we are legally required to register for sales tax in that state and collect it at checkout.

10A.5 Middle East, Australia, Canada & Rest of World:

• Standard Import Rules: Packages shipping directly from China follow your country's standard import rules.
• Carrier Collection: The shipping carrier will review the commercial invoice attached by our supplier. If the declared value exceeds your country's tax-free import limit, the courier will pay local VAT/GST at the border and collect it from you upon delivery.
• Customer Responsibility: You are responsible for all local import taxes, VAT, GST, and courier handling fees in your destination country.

10A.6 Customs Invoice Accuracy: Our suppliers declare the retail price you paid on the customs shipping label. Under-declaring values to bypass customs is illegal and results in seized shipments. We do not manipulate declared values.

10A.7 Delivery Terms: All international drop-shipped orders are shipped under DAP (Delivered At Place) Incoterms. This means you are the importer of record and are responsible for all import duties, taxes, and customs clearance fees in your destination country.

10A.8 Refusal or Customs Seizure: If you refuse delivery due to unexpected customs fees, or if customs seizes your package due to local import restrictions, you will be refunded the product price minus the original shipping charge. We are not liable for packages refused or held by customs. We strongly recommend contacting your local customs office about import regulations before placing your order.

10A.9 Checkout Warning: A clear, prominent warning about potential local taxes and customs fees is displayed at checkout for all international orders. By completing your purchase, you acknowledge and accept responsibility for all applicable import duties, taxes, and courier fees in your destination country.

11. Returns and Exchanges Policy

Our 30-day (and 60-day) returns guarantee.
Customs information: NeatResearch will not be liable for packages refused or held by customs for delivery. We request that you contact your customs office and ask about import regulations and restrictions before placing your order.

Please Note: If your order is returned to us due to a banned/restricted products policy, a wrong address, refusal to pay customs fees, refusal to accept the order or because no one was there to accept delivery of your order, we will refund your order as follows: You will be refunded the total amount of the order, minus the original shipping charge.

11.1 We hope you will be totally satisfied with anything you buy from our website. If, for any reason you are unhappy with your purchase, you can return it unopened and unused within 30 days of the date of despatch. The date the items were dispatched to you by us will be detailed in the documentation with your order. Please ensure that all items are returned in their original packaging with their labels intact.

11.2 You must inspect all goods delivered to you immediately upon receipt and in any event within three days of delivery.

11.3 You must within three days of delivery notify us of any alleged defect, shortage or other shortcomings in the goods which shall otherwise be deemed to have been delivered in accordance with your order; then we will pay the return fees or arrange collection on your behalf, please. Please be as specific as possible. If the wrong product has been sent or the item is defective, notify us through the contact page within three days of delivery.

11.4 If you properly reject any goods which are not in accordance with the contract between us you must nevertheless return the goods to us post-paid.

11.5 You may exchange the item for something else, subject to stock availability, or receive a full refund of the price paid (excluding any delivery charges).

11.6 The refund can only be made to the card used (or payment process used) when paying for the order. We will email you when the item has been received and will inform you when the credit has been made to your card account. This is normally within 14 days of receipt of the goods.

11.7 If you wish to exchange an item, you will have to pay any difference in the cost of the item and any additional delivery cost. We will tell you what this is so you can arrange payment.

11.8 You may also return your used purchase if you have taken part in the 60-Day-Challenge, however, contact us and we will send you a simple return form, with which we can identify your purchase by the returned product and hence refund your money (excluding shipping costs).

11.9 You are responsible for the return shipping costs and original postage fees. If you received free delivery, the actual delivery cost paid by prospergene.com will be deducted from any refund to be made.

11.10 If the cost to return the product to us is larger than the cost of the refund due, we will instruct the carrier to abandon the order and there will be no credit for the order. If the product(s) is seized by customs, there will be no credit processed for the product(s).

11.11 Refunds will not be issued until the returned packages are physically in our warehouse. All items must be received in original/sealed condition.

11.12 Exceptions for Supplements & Skincare: For dietary supplements and skincare products, we offer a 90-Day Satisfaction Guarantee. You may return the unused portion or even the empty bottle within 90 days of purchase for a full refund of the product purchase price (excluding shipping fees).

11.13 Exceptions for BSR-1 Smart Ring: The BSR-1 Smart Ring is subject to a 30-day return window starting from the date of delivery. The ring must be returned in its original packaging with all accessories and charging cradle. Customers are entitled to a one-time free size exchange within 30 days of receipt, provided the ring shows no signs of physical abuse.

11.14 Refund Fraud Verification: To ensure payment network integrity and protect the platform against chargeback abuse, refund fraud, and velocity attacks, we utilize secure third-party verification tools. All high-value or suspicious refund requests require biometric liveness verification (powered by Smile ID selfie check) and transaction risk analysis (powered by Flagright). Refund requests displaying coordinate-mismatched data, velocity warnings, or failing liveness validation will be flagged for review and may be rejected in our sole discretion.

12. Returns Procedure

12.1 When returning goods, please include your order number, full name and reason for return. Or contact us and we will send you a simple return form, with which we can identify your purchase by the returned product and hence refund your money (excluding shipping costs).

12.2 Please wrap your parcel in its original packaging and securely to avoid damage in transit back to us. Please note we cannot accept an item for a refund if it has been damaged (such as a broken bottle) in transit to us. We advise you to obtain a proof of posting certificate if using the Post Office.

13. Right to Cancel & Statutory 14-Day Cooling-Off Period

13.1 Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a statutory right to cancel your contract (whether for physical products or digital memberships) for any reason within a statutory cooling-off period of 14 calendar days from the day you receive the physical goods (or from the date of signup/contract conclusion for digital services) without giving any reason.

13.2 This policy guarantees consumers a clear, legally compliant 14-day path to cancel or dispute an order directly with us without breaching any payment network rules or initiating chargebacks.

13.3 To cancel your order, please provide us with notice by emailing [email protected] within the 14-day cooling-off period, providing your full name, order number, and details of the items or membership you wish to cancel.

13.4 If you cancel under this statutory 14-day right, we will issue a full refund of all payments received from you (including standard delivery charges) within 14 days of receiving your cancellation notice or receiving the returned physical goods in their original packaging.

13.5 Please note that for physical items, you are responsible for the direct costs of returning the items to us, and we must receive the items in original, resalable condition.

13.6 Subscription Cancellation: We operate under a "Simple Entry, Simple Exit" policy. You may cancel your monthly or annual membership subscription at any time with a single click inside your Member Dashboard or by emailing our support team at [email protected]. Cancellations will take effect at the end of your current billing cycle.

13.7 Billing Reminders & Receipts: For transparency, automated email reminders are sent at least 7 days prior to any recurring annual or semi-annual charges. A detailed transaction receipt is issued instantly via email following every successful payment.

14. Title, Risk and Limitation of Liability

14.1 Title of the products will be transferred to you on delivery.

14.2 Once a product has been received by you, all risk of damage to or loss of the items bought by you will pass to you.

14.3 To the full extent allowed by law you accept and agree that we shall not be liable to you or to any other person for any loss or damage (including consequential or indirect loss or damage), loss of revenue or profits (howsoever described) whether direct or indirect howsoever caused and arising out of your use of our website and from any product you use.

14.4 Nothing in these Terms, shall limit or exclude our liability for personal injury or death caused by our negligence.

15. Trademarks, Copyright, Intellectual Property

The ProsperGene trademark and the NeatResearch Laboratories trademark remain the exclusive property of NeatResearch Laboratories Limited and its affiliates and as such is protected by international and UK copyright and other intellectual property laws.
